Terms and Conditions

1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "You", "Lawyer", "Legal Professional") and WeYou X Private Limited, operating LegalIndia.ai ("Company", "We", "Us", "Platform"), a sovereign legal intelligence infrastructure platform registered under the laws of India.
By accessing, registering, or using LegalIndia.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws including the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Information Technology Act, 2000 ("IT Act"), and rules framed thereunder.
If you do not agree to these Terms, you must not access or use the Platform. Continued use constitutes acceptance of any modifications to these Terms.
2. Definitions
- "Authorized Region" means the territory of India, specifically AWS Mumbai (ap-south-1) region, where all data processing occurs in compliance with DPDP Act Section 16 requirements.
- "Client Matter Data" means any information, documents, case files, client communications, or legal materials uploaded, input, or generated through the Platform.
- "Legal Intelligence Output" means TCRE-generated research results, property opinions, case analysis, document drafts, and any other analytical content produced by the Platform.
- "Services" means the legal research, property opinion generation, case discussion, document analysis, and related TCRE-powered legal intelligence services provided through the Platform.
- "Subscription" means the paid access tier selected by the User, which determines usage quotas, features, and Service levels.
- "User Data Vault" means the encrypted, tenant-isolated storage system where User's Client Matter Data is persisted exclusively within Authorized Regions.
3. Eligibility and Professional Representation
The Platform is designed for use by legal professionals including advocates enrolled with any Bar Council in India, law students, legal researchers, and authorized personnel of law firms and legal departments.
By registering, you represent and warrant that:
- You are at least 18 years of age.
- You possess the legal capacity to enter into binding agreements.
- If accessing as a legal practitioner, you hold valid enrollment with the appropriate Bar Council.
- You will use the Services in compliance with the Advocates Act, 1961 and Bar Council of India Rules.
The Company reserves the right to verify professional credentials and may suspend or terminate accounts that misrepresent eligibility status.
4. Description of Services
4.1 Core Modules
- Factual Research Module: Provides statutory discovery, case law retrieval, and legal research with conversation continuity across sessions. Outputs include compressed decision-grade analysis referenced to Indian statutory frameworks.
- Property Opinion Module: Processes property documents through TCRE analysis to generate title verification reports, encumbrance analysis, and legal opinions. Includes lawyer decision layers for approve, reject, or request-more-documents workflows.
- Case Discussion Module: Enables strategic case analysis using TCRE (Truth Convergence Reasoning Engine) methodology for legal consultation and matter-specific prediction.
4.2 Service Limitations
The Platform is a legal intelligence tool designed to augment professional judgment, not replace it. All Legal Intelligence Outputs require review and validation by qualified legal professionals before use in any legal proceeding or client communication.
5. Professional Responsibility and Disclaimer
No Attorney-Client Relationship: Use of the Platform does not create an attorney-client relationship between the User and the Company. The Company does not provide legal advice.
Professional Verification Mandatory: All Legal Intelligence Outputs are preliminary analyses requiring professional verification. The User bears sole responsibility for:
- Verifying accuracy of all outputs.
- Ensuring compliance with applicable laws and professional ethics.
- Exercising independent professional judgment.
- Maintaining professional liability insurance as required.
No Guarantee of Outcomes: The Company makes no representation regarding the outcome of any legal matter, the accuracy of TCRE-generated content, or the applicability of outputs to specific cases.
Ethical Compliance: Users must ensure that use of the Platform complies with Bar Council of India Professional Ethics Rules, including but not limited to rules regarding client confidentiality, unauthorized practice, and advertising restrictions.
6. Data Sovereignty and Compliance
6.1 Sovereign Infrastructure Commitment
The Platform operates exclusively within Authorized Regions (AWS Mumbai, ap-south-1) in compliance with DPDP Act Section 16 data localization requirements:
- Residency Kill-Switch: If the system detects operation outside Authorized Regions, it will terminate rather than process data in unauthorized territories. Downtime is preferable to sovereignty violation.
- Zero Foreign Dependency: All inference, data processing, and storage occurs within Indian infrastructure. No Client Matter Data leaves India under any circumstance.
- Tenant Isolation: Each User's data is cryptographically isolated. No cross-contamination of memory, embeddings, vectors, or inference traces between tenants.
6.2 Regulatory Compliance
The Platform maintains compliance with: Digital Personal Data Protection Act, 2023; Information Technology Act, 2000 (Section 43A); IT (Reasonable Security Practices) Rules, 2011; ISO 27001:2022 certification standards; and applicable Bar Council regulations regarding electronic records.
7. User Obligations and Prohibited Conduct
Users shall:
- Provide accurate registration information.
- Maintain confidentiality of login credentials.
- Ensure appropriate authority to upload Client Matter Data.
- Comply with all applicable laws and professional ethics.
- Promptly report any security incidents or unauthorized access.
Users shall not:
- Share account credentials with unauthorized persons.
- Attempt to circumvent security measures or access controls.
- Use the Platform for any unlawful purpose.
- Upload content that violates third-party rights.
- Reverse engineer, decompile, or extract Platform algorithms.
- Use automated systems to access the Platform beyond authorized integrations.
- Misrepresent Legal Intelligence Outputs as human-generated legal opinions.
The Company reserves the right to suspend or terminate access for violation of these obligations without prejudice to other remedies available under law.
8. Intellectual Property Rights
Platform IP: All intellectual property in the Platform, including algorithms, user interface, documentation, trademarks, and trade secrets, belongs exclusively to the Company. These Terms grant no rights to such IP except the limited license to use the Services.
User Data: Users retain all rights in their Client Matter Data. By uploading data, Users grant the Company a limited, non-exclusive license to process such data solely for providing the Services and improving Platform functionality.
Feedback: Any feedback, suggestions, or ideas provided to the Company may be used without restriction or compensation.
9. Subscription and Payment
- Subscription Tiers: Access to Services is provided through subscription plans with varying quotas and features. Current plans, pricing, and quota details are available in your account settings.
- Payment: All payments are processed through Razorpay or other authorized payment gateways. Subscription fees are payable in advance. Prices are quoted in Indian Rupees and are subject to applicable GST.
- Renewal: Subscriptions automatically renew unless cancelled before the renewal date. Users may cancel through account settings or by contacting support.
- Refunds: Refund requests within 7 days of initial subscription may be considered on a case-by-case basis. No refunds are provided for partially used subscription periods or quota overages.
10. Data Retention and Deletion
- Retention Period: Client Matter Data is retained in the User Data Vault for the duration of the subscription plus 90 days following account closure, unless deletion is requested earlier.
- Deletion Rights: Users may request deletion of their data at any time through account settings. Upon verified request, the Company will execute complete data purge using the Data Sovereignty Kill-Switch within 5 business days, with audit confirmation.
- Regulatory Preservation: Notwithstanding deletion requests, the Company may retain data as required by law, court orders, or regulatory mandates. Audit logs are retained for 1 year per ISO 27001 requirements.
- Ephemeral Processing: TCRE inference processing is ephemeral. The Platform does not retain content beyond user-authorized persistence within the User Data Vault.
11. Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Legal Intelligence Outputs may contain errors, omissions, or inaccuracies. The Company disclaims all liability for decisions made or actions taken based on such outputs.
To the maximum extent permitted by law, the Company's total liability for any claims arising from or related to these Terms or the Services shall not exceed the total subscription fees paid by the User in the 12 months preceding the claim.
In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or professional reputation, regardless of the theory of liability.
12. Indemnification
Users agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- User's breach of these Terms.
- User's violation of any law or third-party rights.
- Client Matter Data uploaded by User.
- User's misuse of Legal Intelligence Outputs.
- Any claim by User's clients related to services provided using the Platform.
13. Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
- Arbitration: Any dispute arising from or relating to these Terms shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, seated in Bengaluru, Karnataka. The language of arbitration shall be English.
- Jurisdiction: Subject to the arbitration clause, the courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any legal proceedings arising from these Terms.
14. Modification and Termination
- Modification: The Company reserves the right to modify these Terms at any time. Material changes will be notified via email or Platform notification at least 15 days before taking effect. Continued use after modification constitutes acceptance.
- User Termination: Users may terminate their account at any time through account settings or by written notice to support@legalindia.ai.
- Company Termination: The Company may suspend or terminate User access for: (a) breach of these Terms; (b) non-payment; (c) fraudulent or illegal activity; (d) extended inactivity exceeding 12 months; (e) regulatory or legal requirements. The Company will provide reasonable notice except where immediate action is required for security or legal compliance.
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any supplemental terms for specific Services, constitute the entire agreement between the parties.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any right shall not constitute waiver of such right.
- Assignment: Users may not assign these Terms without written consent. The Company may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party shall be liable for delays or failures due to causes beyond reasonable control, including natural disasters, government actions, or infrastructure failures.
- Notices: Official notices to the Company should be sent to support@legalindia.ai. Notices to Users will be sent to the registered email address.
